Standard Terms and Conditions of Sale

1. It is assumed that every customer is aware of and accepts the conditions of sale. Any modification of these conditions of sale requires our special, written consent. Otherwise, a condition stated by the customer relating to his orders is not to be considered.


2. Our prices are based on the current exchange rates of the currencies of the countries of origin of the ordered goods. Any change in foreign exchange rates in relation to the Euro will be converted to our prices as well as the orders not yet executed, even if they are placed before the date.


3. We reserve the right to adjust our prices to market fluctuation. In such a case, however, the buyer has the right to cancel his order.


4. The orders taken by our representatives are only valid upon confirmation by us.


5. Delivery dates are given by us serve only as a guide. Failure to com- ply with the delivery date can in no case give the right to compensation or cause the termination of the purchase agreement.


6. Accepted orders of less than 50 EUR automatically incur a 3 EUR fee to cover fixed costs.


7. To be effective, any complaint or claim must be sent to us within 8 days of the invoice date by registered letter.


8. It is expressly agreed between the parties that we alone remain the exclusive owner of the goods sold until the full payment of the goods has been made.


9. For the transport and unloading of goods the buyer assumes the sole risk, even if the transport takes place at our expense. Advance payments will be retained in any case as damages.


10. Our invoices are always payable in St.Vith and it cannot be assumed that we waive this right, even if we pay by bill of exchange or payment arrangements.


Unless otherwise expressly agreed, our invoices are payable net within 30 days of the invoice date. In case of incomplete payment or lack of justified complaint on the due date, the invoice amount will automatically increase without notice of default by 20%, with a mini- mum of 25 EUR.


Each claim or unpaid invoice automatically increases, without notice of default, at an annual interest rate of 15% from the due date.


11. All disputes that may arise between us and the buyers are the sole responsibility of the courts responsible for the canton St.Vith, even in case of related actions, connection, intervention or warranty.


Belgian law alone is applicable.
